These Terms of Service ("Terms") govern your access to and use of the MyDojo Software platform, website, and services (collectively, the "Services") provided by LEAVE.REVIEW LTD (Company Number: 05408918), a company registered in England and Wales with registered office at 124 City Road, London, England, EC1V 2NX, trading as MyDojo Software ("Company," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

MyDojo Software provides a cloud-based management platform designed for martial arts schools, dojos, gyms, and similar organizations. Our Services include, but are not limited to:

  • Class scheduling and management
  • Student and membership management
  • Billing and payment processing
  • Attendance tracking
  • Belt and rank progression tracking
  • Communication tools
  • Reporting and analytics

3. Account Registration

To use certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

Access to our Services requires a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your chosen subscription plan
  • Provide valid payment information
  • Authorize us to charge your payment method for recurring subscription fees

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

5. Free Trial

We may offer a free trial period for new users. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the applicable subscription fee unless you cancel prior to the end of the trial period.

6. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Collect or harvest user data without consent
  • Use the Services for any fraudulent or deceptive purpose

7. Data Protection and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of MyDojo Software or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you input into our Services. By using our Services, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Services to you.

9. Third-Party Services

Our Services may integrate with or contain links to third-party services, including payment processors. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

10. Service Availability and Modifications

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Services.

11. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Services will immediately cease. You may request a copy of your data within 30 days of termination, after which we may delete your data in accordance with our data retention policies.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYDOJO SOFTWARE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless MyDojo Software and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services or your violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Effective Date" above. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

18. Severability

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyDojo Software regarding the use of our Services and supersede any prior agreements between you and us.
